Terms of Service

1. Service Description

ProjectFlow PMS ("the Service") is a cloud-based project management platform that enables companies to manage projects, tasks, milestones, team collaboration, billing workflows, and AI-powered productivity features. The Service is provided by ProjectFlow Technologies ("we", "us", "our").

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use the Service. By registering for an account, you represent and warrant that you meet these eligibility requirements. Companies must be legally registered entities.

3. Account Terms

You are responsible for maintaining the security of your account credentials, including passwords, passkeys, and multi-factor authentication devices.
You must provide accurate, complete, and current registration information.
You are responsible for all activity that occurs under your account.
You must notify us immediately of any unauthorized access or security breach.
One person or legal entity may maintain no more than one free account.

4. Subscription Terms

Free trials last 14 days from account creation with a 10-project limit.
Paid subscriptions are billed annually or monthly in Indian Rupees (INR) via Razorpay.
Subscriptions auto-renew unless cancelled before the renewal date.
Project limits and feature access are determined by your active plan and add-ons.
We reserve the right to change pricing with 30 days advance notice.
Lifetime access, when granted, provides unlimited access without recurring payments and is non-transferable.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Attempt to gain unauthorized access to the Service, other accounts, or related systems.
Interfere with or disrupt the Service or servers/networks connected to it.
Upload or transmit viruses, malware, or other harmful code.
Use the Service to send unsolicited communications (spam).
Resell, sublicense, or redistribute the Service without our written consent.
Use automated tools (bots, scrapers) to access the Service without permission.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ProjectFlow Technologies and are protected by international copyright, trademark, and other intellectual property laws. Your data remains your property. You grant us a limited license to process your data solely to provide the Service.

7. AI Features

AI-powered features (task generation, project summaries, comment improvement) use third-party AI providers. AI outputs are suggestions and should be reviewed before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. AI features require an active subscription with AI add-on enabled.

8. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of account cancellation. After 30 days, your data may be permanently deleted.

9. Limitation of Liability

To the maximum extent permitted by law, ProjectFlow Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

12. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
